Terms of Service

1. Acceptance of Terms

By accessing or using the Siip mobile application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please refrain from using the App. You confirm that you are at least 18 years old and capable of entering into legally binding agreements. If you are using the App on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to provide accurate, complete, and current information during registration. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Permitted Use

You agree to use the App only for lawful purposes. You must not: violate any applicable laws or regulations, engage in fraudulent or deceptive activities, interfere with the operation of the App, attempt to gain unauthorized access to our systems, or copy, modify, or reverse-engineer any part of the App.

4. Intellectual Property

Siip and its content, including logos, text, images, and software, are owned by or licensed to us and protected by copyright and trademark laws. You may not use, copy, or distribute our content without our written permission.

5. User-Generated Content

By submitting reviews, comments, or other content, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, and display such content. You are responsible for the content you post and must ensure it complies with applicable laws. We reserve the right to remove any content at our discretion.

6. Third-Party Services

The App may contain links to third-party websites or services. We do not control, endorse, or assume responsibility for these external services.

7. Disclaimers & Limitation of Liability

The App is provided “as is” without warranties of any kind. We disclaim liability for any indirect, incidental, or consequential damages. We do not guarantee uninterrupted or error-free service.

8. Termination

We may suspend or terminate your account if you violate these Terms or engage in unauthorized activities. You may delete your account at any time.

9. Changes to These Terms

We may update these Terms periodically. We will notify you of significant changes. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any disputes will be resolved in the courts of Delaware.

1. The App and Services

The App enables coffee roasters to connect their Shopify stores to the Siip platform for the purpose of syncing products, receiving orders, and managing inventory. Siip acts as a discovery and commerce facilitator. Siip is not the seller of record for products sold by Merchants unless explicitly agreed otherwise in writing.

2. Eligibility and Account Requirements

You must operate a valid Shopify store, have authority to bind your business, and provide accurate information. You are responsible for maintaining the security of your Shopify account.

3. Product Listings and Content

You grant Siip a non-exclusive, royalty-free, worldwide license to use, display, and distribute your product data, images, descriptions, and brand assets solely for the purpose of operating and promoting your products within the Siip platform. You warrant ownership and accuracy of listings. Siip may normalize product data without materially altering pricing or claims without consent.

4. Orders, Fulfillment, and Shipping

Orders are transmitted to your Shopify store for fulfillment. You are solely responsible for accurate, timely fulfillment, shipping, customer support, and returns unless otherwise agreed. Siip does not guarantee order volume or sales performance.

5. Payments and Fees

Siip may collect customer payments and remit them according to agreed schedules, net of applicable fees. You bear all tax and reporting obligations.

6. Customer Data and Privacy

Both parties must comply with applicable data protection laws. Customer data is provided solely for order fulfillment purposes. Unsolicited marketing requires express customer permission.

7. App Availability and Modifications

The App may be updated or discontinued at any time. The App is provided “as is” and “as available.” Siip disclaims liability for downtime caused by Shopify, third parties, or force majeure events.

8. Termination

You may uninstall the App at any time. Siip may suspend or terminate access for violations, fraudulent activity, or unpaid fees. Outstanding orders must still be fulfilled unless otherwise agreed.

9. Disclaimers

The App is provided “as is” and “as available.” Siip disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. Siip does not guarantee sales, customer acquisition, or commercial success.

10. Limitation of Liability

Siip's total liability under these Terms shall not exceed the fees paid by you to Siip in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify Siip from claims arising from your products, fulfillment, shipping, customer disputes, or violations of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware.

13. Changes to These Terms

Siip may update these Terms. Continued use of the App constitutes acceptance.
